Before signing, buying, or starting work

Keep old tax and unemployment debt out of the closing surprise

Official check

Michigan Treasury says a buyer of even part of a business, its stock of goods, or a liquor license may face seller tax debt, despite private contract language. The buyer should withhold enough purchase money in escrow until the seller provides a Treasury tax-clearance certificate. UIA has a separate successorship, information, and clearance process.

Downloadable lists are updated on a schedule and the underlying record can change, so even a matching result is evidence to verify—not a promise that the license is valid for this buyer or deal.

Name the MLCC transaction the same way the deal papers do

Official check

Buying assets, buying the licensed entity, changing owners, moving a license, changing its class, changing the premises, and seeking a new license are different requests. The answers point first to an ownership transfer tied to a business and license purchase, but the executed papers and MLCC decide the real lane.

Start with the license lane that matches the products and place

Official check

On-premises sales of beer, wine, mixed spirit drinks, and full spirits commonly start with the Class C lane. That label is a place to begin the MLCC conversation, not a finding that a quota license, transfer, site, owner, or permit qualifies.

Official check

Many retail licenses may move within a local unit or between local units in the same county, but the exact license type, statutory basis, escrow status, local boundaries, approvals, and exceptions matter. Some resort, redevelopment, development-district, quota-exempt, and purpose-specific licenses can be location-bound.

What created this license, is it active or properly escrowed, may it move between these two local units, and which local and MLCC steps apply before the new site is valued?

This route cannot say the license is portable or movable. Being in the same county is not enough by itself, and a different-county plan needs direct MLCC review.

Report the interest change and trace ownership to people

Official check

MLCC says every transfer of stock, membership, or partnership interest must be reported, and a transfer that exceeds 10% requires Commission approval. A person not currently licensed who will hold 10% or more generally faces fingerprinting after MLCC provides the request form. Those are different thresholds. Splitting a change into steps does not make the underlying ownership story disappear.

Who will own, control, manage, finance, receive profit from, hold an option in, or otherwise influence the applicant after the deal, and what must be disclosed or approved?

This route does not decide who is eligible, whether a person or agreement must be disclosed, fingerprint results, or whether a transaction may close.

Make the purchase price and source of funds tell one story

Official check

MLCC reviews the purchase price, the business and real-estate allocations, applicant funds, notes, security agreements, lenders, investors, and other financial relationships. Current conditional-license guidance says an on-premises purchaser must provide at least 10% of the business purchase price excluding real estate, and says alcohol inventory cannot be pledged in a security agreement or promissory note. Changed closing terms can require new papers or investigation.

Match the property document to the applicant and premises

Official check

MLCC commonly asks for an executed lease, deed, land contract, mortgage, or other acceptable property document. A seller, landlord, or related property company can create extra ownership, lease, control, or financing questions. A lease default clause cannot make a future license reassignment automatic; Commission approval still controls.

Ask

What executed document gives the applicant control of every indoor, outdoor, storage, and connected area, and do the parties and boundaries match the application and diagram?

Keep each local answer separate from MLCC approval

Official check

Local legislative action, police input, zoning, occupancy, building, fire, food, local alcohol restrictions, Sunday rules, and MLCC approval are not one decision. A local yes does not promise an MLCC yes. An MLCC order does not waive zoning, building, plumbing, sanitation, health, fire, or occupancy requirements.

Which local actions or opinions apply to this transaction, and what separate written zoning, occupancy, building, fire, food, and operating approvals are required before buildout and opening?

Measure and review the church-or-school question without guessing the result

Official check

A new on-premises or spirits retailer license, or a qualifying location transfer, may face the 500-foot church-or-school rule. Proximity is not an automatic final denial in every permanent-license case; notice, objection, waiver, hearing, measurement, and conditional-license rules can change the path. A standalone SDM has a separate statutory exception, so this card is not applied to an SDM-only plan.

Before ordering equipment, building, or changing the site

Draw every place and added privilege before building or advertising it

Official check

A base license does not automatically include a patio, rooftop, sidewalk, added bar, social district, catering, takeout or delivery, Sunday sales, entertainment, dancing, storage, living quarters, banquet space, or a changed licensed boundary. A social-district commons area is not the licensed patio: sales still occur on the approved licensed premises or outdoor service area.

For each room, patio, bar, sidewalk, storage area, event, hour, and service method, what exact MLCC permit or permission, diagram, property control, local approval, inspection, and operating condition applies?

Open the food-service path beside the liquor-license path

Official check

A liquor license does not approve the kitchen, menu, food plan, equipment, water, wastewater, manager, inspection, or food license. The food office and MLCC may also need consistent entity, menu, and premises information.

Which food office, plan review, license, inspection, manager, building, fire, water, and wastewater steps apply before the kitchen is built or food is served?

Before opening or putting the change into use

Ask whether a conditional license may be requested—without counting on it

Official check

A conditional license may be requested for certain retail ownership transfers, some ownership-and-location transfers, or a new standalone SDM. MLCC still decides. It generally carries only the existing license's current permits and permissions, lasts one year, cannot be renewed, and does not add the buyer's requested new patio or permit.

Does this exact transaction qualify to request a conditional license, which existing permissions could carry, what must be excluded, and what written issuance must exist before operation?

Name who buys the alcohol and who pays before serving away from the ordinary bar

Official check

A truly private, invitation-only, host-paid event with no guest charge is different from a public or paid event. A licensed on-premises retailer may need a Catering Permit and must follow separate purchase, delivery, service, training, and leftover-alcohol rules. A host invitation alone does not choose the path.

Who buys and owns the alcohol, do guests pay anything for entry, food, drinks, service, or another item, where will service occur, who serves and receives revenue, and does a Catering Permit, Special License, or private-event rule apply?

Build the closing packet before choosing an opening date

Official check

A Commission approval order can still be followed by a final inspection, proof of financial responsibility, ownership report, executed property document, final financing, fees, LCC-107, seller renewal, and other requested items before the license is issued. MLCC does not promise one fixed processing time; the request moves through completeness review, investigation, Commission consideration, closing, and issuance.

Put a trained supervisor on every required alcohol-service shift

Official check

Michigan does not issue an individual bartender license, but training duties still apply. MLCC's closing guidance says a new on-premises license or a transfer of more than 50% interest must have server-trained supervisory personnel during all hours alcohol is served. Catering and delivery workers and some younger servers can have their own training rules.

Managers, servers, kitchen staff, door staff, cashiers, delivery workers, cleaners, and retained seller employees can bring payroll, unemployment, workers' compensation, wage, age, injury, driving, violence, lifting, slip, cut, burn, chemical, and emergency duties beyond alcohol-server training.

Which Treasury, UIA, workers' compensation, wage, youth-work, poster, record, MIOSHA, driver, training, and emergency duties apply to each real job before the first shift?
